Terms & Conditions: Google Ads Management

By engaging my services for Google Ads management you agree to the following terms and conditions. Any variation on this agreement must be written and agreed upon BEFORE any work commences.

Service Description & Scope

My Google Ads management service includes:

  • A quick chat to better understand the nature of your business, your unique selling proposition, goals and budget. I am happy to answer any questions you have about this service at this time.
  • Account creation when I determine this is the best course of action (most cases)
  • Creation and setup of maximum two campaigns in a way I determine is best for your business goals and budget. Creative control of headlines, call outs, descriptions, ad types etc will be at my discretion and will reflect information I have read on your website, or have been told by the client.
  • A review of the account 1 week after it was setup to check it is running as expected. When relevant you may be contacted to confirm that what I am seeing in the data is correct for you (eg. you are receiving calls, traffic, sales, bookings etc)
  • Ongoing optimisation of the campaign as I see fit to maximise results in the ad spend budget we have agreed upon
  • I no longer provide monthly reports in an effort to keep monthly management fees low for my clients. Most clients are aware they are receiving sales, calls, traffic or bookings as a result of Google Ads and can see more details in their website analytics.

Client Responsibilities

Clients are responsible for:

  • maintaining the website that the Google Ads campaign is bringing traffic to
  • the accuracy of information found on their website or provided to me which is then represented in Google Ads
  • informing me of any changes to your services that may be represented in your Google Ads campaign (eg. change of price, no longer offering a service etc)
  • providing documentation in a timely manner when requested (eg. specific industry licences, tax information etc)
  • asking questions to make sure they understand what is being offered, how the service works, and determining if the service is appropriate for their business
  • requesting or making sure they have access to relevant tax invoices from Google Ads or myself prior to or within 1 month of terminating our engagement

Payment Terms

All payments to me need to be made in advance and are non refundable. They do not include GST and are priced in Australian dollars. These include:

  • $350 set up fee charged to your credit card on the day of the campaign set up.
  • $175 monthly management fee for the first calendar month that the ads run or part there of. Like the set up fee, this is charged to your credit card on the day of the campaign set up.
  • $175 monthly management fee for every calendar month ads run thereafter. This is billed on the first of the month.

Any budget for Ad spend needs to be paid directly to Google.

  • Google charges in arrears
  • Google does charge GST on top of the ad spend
  • There is typically some variation in the budget we set in ad spend as different amounts of people search for related terms each month. One month you may be slightly over budget the next slightly under.
  • Eventually you will be billed one the 1st of the month by Google, but in the first few months of your campaign you will be charged when you meet a billing threshold (eg. when you spend $100 in ad spend, then $250, then $500 etc. These thresholds may vary depending on your account)
  • I am not responsible if you fail to pay Google for your ad spend and will cooperate with them to ensure all bills are up to date. This will include sharing any relevant information you have provided to me.

Performance and Results

While I will make reasonable efforts to set up and optimise a Google Ads campaign(s) on your behalf, I do not guarantee specific results, such as increased conversions or sales.

Confidentiality

  • I will make all reasonable attempts to keep any information shared with me protected and confidential.
  • By engaging in this service you agree for me to share information provided to me with Google Ads and similar Alphabet Inc. subsidiaries.
  • On occasion I will need to provide details to trusted third parties to assists with your campaigns to maximise their performance
  • I retain the right to provide your information to police, lawyers or similar to assist with criminal investigations if necessary
  • On termination of our engagement I will make a reasonable attempt to remove sensitive data or information that I have access to within 6 months

Intellectual Property

I reserve the right to the following intellectual property and digital assets. This right allows me to make changes as I see fit including deleting or removing these assets:

  • Any gmail account I have created to assist with your marketing
  • Any Google Ads account I have created
  • Any campaign I have set up and created OR modified and optimised over a 3 month or longer time period
  • Any graphics, copy, headlines, descriptions, callouts or other assets I created and used in the campaigns
  • Any data that was collected in Google Ads account or campaigns created by me

The client retains ownership to the following intellectual property and digital assets and as such are responsible for their safe keeping or proper disposal:

  • any logos, brand names, graphics that were supplied for the purpose of the campaign or found on their website
  • any customers gained, or information about potential customers such as new email subscribers
  • any data from other services they may have such as Google analytics or website analytics which illustrate how successful the Google ads campaigns were

Pausing A Campaign

Things come up. That’s ok. Here is how we handle it:

  • Let me know. Preferably in writing but a phone call is ok too. Tell me you want to pause the service, not end the service. Let me know how long you need to pause the ads for (up to 6 months).
  • I will pause your campaigns and pause your monthly management payment for that time.
  • After 6 months if you are not ready to restart the service even at a low ad spend we will need to terminate the engagement to keep myself within my policies and data protection requirements. We can set you up with a new campaign in the future but will need to care the set up fee again.

Termination

All good things must come to an end. You can decide to stop the engagement at any time, as can I.

Here is how we do it:

If you want to terminate the service at the end of the calendar month:

  • You notify me in writing at least 2 business days before the end of the calendar month.
  • I stop your monthly management payment & stop your ads running at the end of the month.
  • Within 1 month of the ads stopping you make sure you have all of the financial documents you need (invoices and receipts from me, any tax receipts you need form Google). I assist with this where I can.
  • Not before 1 month, but within 6 months of the ads running I delete the Google Ads account.

If you want to terminate the service immediately:

  • You notify me in writing
  • I stop your ads running within 5 business day (usually sooner) and stop your monthly management payment. There are no refunds for partial monthly management, and please note Google will likely bill you after the ads stop as ad spend is paid in arrears
  • Within 1 month of written notice of termination you make sure you have all of the financial documents you need (invoices and receipts from me, any tax receipts you need form Google). I assist with this where I can.
  • Not before 1 month, but within 6 months from the written notice of termination I delete the Google Ads account.

If I want to terminate the engagement at the end of the calendar month:

  • I notify you in writing. Typically this is done with plenty of time for you to find a new Google Ads management service (eg. 10 business days or more) but will depend on the circumstances.
  • I stop your ads running at the end of the calendar month and stop your monthly management payment. Please note Google will likely bill you after the ads stop as ad spend is paid in arrears.
  • Within 1 month of written notice of termination you make sure you have all of the financial documents you need (invoices and receipts from me, any tax receipts you need form Google). I assist with this where I can.
  • Not before 1 month, but within 6 months from the written notice of termination I delete the Google Ads account.

If I want to terminate the service immediately (for any reason including abusive clients):

  • I will notify you in writing
  • I stop your ads running and stop your monthly management payment. There are no refunds for partial monthly management, and please note Google will likely bill you after the ads stop as ad spend is paid in arrears
  • Within 1 month of written notice of termination you make sure you have all of the financial documents you need (invoices and receipts from me, any tax receipts you need form Google). I (or an authorised third party such as a lawyer, colleague, police officer etc) will assist with this where they can.
  • Not before 1 month, but within 6 months from the written notice of termination I delete the Google Ads account.

Limitation of Liability

While I take care to represent my clients well I am not responsible for any damages incurred by the client as a result of the Google Ads campaigns I create or optimise. This includes any financial loss, loss of income, damage to reputation or any other damages.

Modifications to the Terms and Conditions

I reserve the right to modify or update the terms and conditions at any time without notification.
